These Terms and Conditions ("Terms") are a legally binding agreement between Deviofy Digital Technologies FZCO ("Hubpoint", "we", "us", "our") and the person or legal entity accepting these Terms ("Customer", "you", "your") regarding access to and use of the Hubpoint products and services.
This document is written to apply globally and includes a dedicated EU/EEA Supplement for users in the European Union (EU), European Economic Area (EEA), Switzerland, and the United Kingdom (UK).
1. Scope of Services
Hubpoint is a software-as-a-service platform that may include:
- hubpoint-core (backend APIs and business logic);
- hubpoint-app (business manager dashboard for companies and teams);
- hubpoint-landing (public marketing and lead collection website);
- hubpoint-collabriq (public and admin scheduling/polling flows);
- hubpoint-appointment-selector (public booking and review workflows);
- hubpoint-mobile-manager (mobile app for business operators/managers);
- related domains, APIs, integrations, and support channels.
Primary properties currently include:
- www.hubpoint.ai - marketing website, contact/lead forms, public information pages;
- app.hubpoint.ai - Hubpoint Manager (business dashboard and account workspace);
- book.hubpoint.ai - Appointment Selector and public booking interface;
- collabriq.hubpoint.ai - Collabriq public/admin scheduling and voting flows;
- mobile manager applications and web builds linked to the above services.
We may update, improve, or deprecate features over time. Unless a separate written enterprise agreement states otherwise, all new or modified features remain governed by these Terms.
1.1 Service Feature Schedule (Contractual Scope Clarifier)
To avoid ambiguity, service functionality may include, without limitation:
- account registration/login, OTP/verification, session management;
- company and branch setup, expert/staff profile management, role-based access;
- appointment booking, confirmation, cancellation, reminders, and scheduling controls;
- customer data management (contact details, notes, booking history, blacklist entries);
- reviews/feedback modules (including public/private comments and response workflows);
- subscriptions, plan management, billing events, renewal/cancelation logic;
- analytics and attribution flows (for example campaign parameters, event tracking, conversion events);
- communication channels and integrations (such as email templates, CRM synchronization, messaging/webhooks where enabled);
- AI-assisted or automation-enhanced workflows where made available;
- mobile manager features, including optional media upload and voice-related flows.
Not every feature is available in every plan, geography, language, or deployment environment.
2. Contracting Parties and Eligibility
2.1 You represent that:
- you are at least the legal age of majority in your jurisdiction;
- you have authority to bind your business/entity (if registering for a business);
- your registration and use are lawful in your jurisdiction.
2.2 If you use Hubpoint on behalf of a company, agency, or organization, that entity is the Customer and is responsible for all activity conducted under its accounts.
2.3 You must provide accurate and complete registration information and keep it up to date.
3. Account Registration, Security, and Access
3.1 Access may require account creation, identity checks, email/OTP verification, and acceptance of legal agreements.
3.2 You are responsible for:
- safeguarding login credentials and tokens;
- all activity under your accounts and sub-accounts;
- promptly notifying Hubpoint of unauthorized use or security incidents.
3.3 You must not:
- share credentials outside authorized team members;
- attempt to bypass authentication or authorization controls;
- access data that does not belong to your account/tenant.
3.4 Hubpoint may suspend or restrict access for suspected fraud, abuse, security risk, legal non-compliance, non-payment, or repeated policy violations.
4. Customer Data, Platform Roles, and Responsibilities
4.1 You may input, upload, or process data such as names, emails, phone numbers, booking details, comments, notes, media, staff schedules, and customer interactions ("Customer Data").
4.2 As between Customer and Hubpoint:
- Customer retains ownership of Customer Data;
- Hubpoint receives a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Services, comply with law, and enforce these Terms.
4.3 You are solely responsible for:
- determining legal grounds to collect and process personal data from your end users/clients;
- displaying your own privacy notices and obtaining required consents;
- managing lawful communications (email/SMS/WhatsApp/push) to your contacts;
- handling customer disputes related to your services, appointments, or conduct.
4.4 You must not use Hubpoint to process unlawful, infringing, discriminatory, defamatory, abusive, or malicious content.
5. Integrations and Third-Party Services
5.1 Hubpoint may interact with third-party providers, including payment processors, analytics, communication, identity, CRM, and advertising platforms.
5.1.1 Depending on environment and configuration, integrations may involve categories such as:
- payment processing providers;
- cloud and API infrastructure providers;
- analytics/event platforms and tag managers;
- communication/messaging providers;
- identity/authentication providers;
- anti-bot and abuse prevention services;
- CRM and marketing automation services.
5.2 Third-party services are governed by their own terms and privacy policies. Hubpoint is not responsible for third-party outages, policy changes, or data practices outside Hubpoint systems.
5.3 Your use of external integrations may require separate accounts, API keys, and contractual acceptance with those providers.
5.4 Customer acknowledges that certain features depend on external services and may degrade or become unavailable if third-party services are changed, suspended, or discontinued.
6. Subscription Plans, Trial Access, and Billing Authorization
6.1 Hubpoint may offer free, trial, and paid plans with varying limits, features, and renewal terms.
6.2 By starting a paid subscription or adding a payment method, you authorize Hubpoint and its payment processor(s) to charge all fees, taxes, and applicable charges under your selected plan and add-ons.
6.3 Trial conversion:
- trial terms (duration, eligibility, feature scope) are displayed at purchase flow or offer terms;
- if you provide a payment method for trial conversion or renewal, recurring charges may start at trial end unless canceled before renewal cutoff.
6.4 You are responsible for maintaining valid payment methods. Failed payments may result in retries, account limitation, suspension, or downgrade.
6.5 See the separate payment-policy.md for detailed billing and payment terms. In case of conflict, this Terms document controls unless local mandatory consumer law requires otherwise.
7. Taxes
7.1 Fees are exclusive of taxes unless explicitly stated otherwise.
7.2 You are responsible for all applicable taxes, duties, levies, and governmental charges associated with your use of Services, except taxes based on Hubpoint's net income.
8. Acceptable Use and Prohibited Activities
You must not:
- use the Services in violation of any law, regulation, sanctions, or court order;
- upload malware, exploit vulnerabilities, or perform unauthorized security testing;
- scrape, reverse engineer, clone, mirror, or resell the Services except where expressly permitted by law;
- send spam, deceptive communications, or unauthorized marketing;
- process special category/sensitive personal data without legal basis and required safeguards;
- use Services to provide high-risk activities requiring fail-safe operation (medical emergency, critical infrastructure, etc.) without explicit written agreement.
9. Intellectual Property Rights
9.1 Hubpoint and its licensors own all rights, title, and interest in the Services, software, trademarks, documentation, and derivative works, excluding Customer Data.
9.2 No ownership transfer occurs under these Terms. A limited, non-exclusive, non-transferable, revocable right to use the Services is granted during active subscription and subject to compliance.
9.3 Customer grants Hubpoint a non-exclusive right to use Customer trademarks/name solely to provide Services, unless Customer opts out in writing (except where technically necessary).
10. Feedback and Product Improvements
If you provide suggestions, ideas, or feedback, Hubpoint may use them without restriction or compensation, provided this does not expose your confidential information unlawfully.
11. Service Availability, Maintenance, and Changes
11.1 Services are provided on a commercially reasonable efforts basis unless a separate SLA exists.
11.2 Hubpoint may perform maintenance, updates, and security patches that may temporarily affect availability.
11.3 We may change, add, or remove features for security, legal, technical, or business reasons.
12. Data Protection and Privacy
12.1 Hubpoint's processing of personal data is described in privacy-policy.md and cookie-policy.md.
12.2 Where Hubpoint processes personal data as processor/service provider for Customer, Customer is controller/business and must ensure lawful instructions and notices.
12.3 Where Hubpoint processes data for its own purposes (billing, fraud prevention, analytics, legal compliance, service security), Hubpoint acts as controller/business.
12.4 If required by law (including GDPR/UK GDPR), the parties will execute a Data Processing Agreement (DPA) and applicable transfer mechanisms.
12.5 Customer will not provide unlawful data categories (for example prohibited sensitive data under local law) unless explicitly permitted by law and by a signed written agreement with Hubpoint that includes required safeguards.
12.6 Customer remains responsible for end-customer notices and consent collection for booking pages, communications, and marketing use of customer data.
13. Confidentiality
Each party agrees to protect the other party's non-public information using at least reasonable care and to use such information only for performing obligations or exercising rights under these Terms.
Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from a third party, or required to be disclosed by law.
14. Warranties and Disclaimers
14.1 Hubpoint warrants it has the right to provide the Services.
14.2 Except as expressly provided, Services are provided "as is" and "as available", without implied warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free service.
14.3 Hubpoint does not guarantee:
- business outcomes, revenue growth, or booking conversion rates;
- compatibility with every third-party integration at all times;
- uninterrupted availability of external networks/platforms.
14.4 Nothing in these Terms excludes non-waivable statutory rights under applicable law.
15. Limitation of Liability
To the maximum extent permitted by law:
- neither party is liable for indirect, incidental, consequential, exemplary, punitive, or special damages, including lost profits, lost data, goodwill loss, or business interruption;
- each party's total aggregate liability under these Terms is limited to the amounts paid or payable by Customer to Hubpoint in the 12 months preceding the event giving rise to liability.
This limitation does not apply to:
- willful misconduct or fraud;
- death or personal injury caused by negligence (where non-excludable);
- unpaid fees owed by Customer;
- Customer's misuse of Services or infringement of third-party rights;
- breaches of confidentiality or data protection obligations where law forbids limitation.
16. Indemnification
16.1 Customer indemnifies Hubpoint against claims arising from:
- Customer Data or business activities;
- unlawful processing, communications, or consent failures by Customer;
- Customer's violation of these Terms or applicable laws;
- Customer-provided integrations, content, or instructions.
16.2 Hubpoint may indemnify Customer against third-party IP infringement claims attributable to core Services, subject to prompt notice, cooperation, and control of defense, and excluding claims caused by Customer modifications, combinations, or misuse.
17. Suspension and Termination
17.1 Either party may terminate for material breach not cured within 30 days (or shorter if required by law).
17.2 Hubpoint may suspend immediately for urgent security, fraud, sanctions, legal obligations, or serious abuse.
17.3 Upon termination:
- rights to use Services end;
- outstanding fees remain due;
- Customer may have limited post-termination data retrieval period if available operationally;
- Hubpoint may delete or anonymize data after retention periods and legal obligations are satisfied.
18. Governing Law and Dispute Resolution (Global Baseline)
18.1 Governing law and venue are those identified in your Order Form or Master Agreement.
18.2 If no specific governing law is selected in a signed order form, the parties will agree in good faith on governing law based on the contracting context, while preserving mandatory consumer protections where applicable.
18.3 Parties will attempt good-faith negotiation before litigation/arbitration. Emergency injunctive relief remains available for IP/confidentiality/security breaches.
18.4 Consumer users may retain mandatory local rights and forum protections that cannot be waived.
19. EU/EEA/UK/CH Supplement
For users established in, residing in, or receiving services in the EU, EEA, UK, or Switzerland, the following apply in addition to other terms:
19.1 Mandatory Rights. Nothing in these Terms limits mandatory consumer rights under applicable laws (including unfair terms, digital content directives, and distance selling rights where applicable).
19.2 GDPR Role Allocation.
When Customer uses Hubpoint for business bookings and customer management, Customer is typically controller and Hubpoint processor for hosted service operations. Hubpoint remains controller for account administration, billing, fraud prevention, and service security.
19.3 Data Processing Terms.
Upon request and where legally required, Hubpoint will provide/execute a DPA covering:
- processing subject matter and duration;
- categories of data subjects and personal data;
- security measures;
- subprocessors;
- data subject requests support;
- incident notification duties.
19.4 International Transfers.
Where personal data is transferred outside the EU/EEA/UK/CH, parties will use approved transfer safeguards such as SCCs/UK IDTA or other lawful mechanisms.
19.5 Regulatory Cooperation.
Parties will cooperate in good faith with supervisory authority inquiries relevant to their obligations.
20. Changes to These Terms
20.1 We may modify these Terms for legal, regulatory, security, or service reasons.
20.2 Material changes will be communicated by website notice, in-product notice, email, or account communication.
20.3 Continued use after the effective date of updated Terms constitutes acceptance, unless local law requires explicit acceptance.
21. Miscellaneous
- Entire agreement: these Terms plus Order Form/DPA/acceptable-use references constitute the full agreement.
- Severability: invalid clauses are modified only as needed; remaining clauses stay enforceable.
- No waiver: delayed enforcement is not waiver.
- Assignment: Customer may not assign without consent, except in merger/sale of substantially all assets; Hubpoint may assign to affiliates or successors with notice where required.
- Force majeure: neither party is liable for delays due to events beyond reasonable control.
- Independent contractors: no agency, partnership, or employment relationship is created.

23. Important Implementation Note
These Terms are designed to align with Hubpoint's current product behavior across web, API, booking, and mobile manager flows. If your technical implementation materially changes (for example, new AI features, new ad-tech, new subprocessors, new payment models, or new data categories), these Terms must be updated promptly to preserve legal accuracy.
23.1 No Blanket Compliance Guarantee
These Terms are drafted to be comprehensive and risk-aware, but no policy document alone guarantees absolute legal compliance in every jurisdiction or industry. Compliance also depends on implementation, security controls, user workflows, consent mechanics, contracts with subprocessors, tax treatment, and local legal requirements. Customers using Hubpoint remain responsible for lawful operation of their own business practices.
